A.1. Purpose

These Terms of Use govern the free provision of the trial version of the Nexus DataHub software, presented under the ReCoWn Labs brand.

This version is intended exclusively to enable businesses and integration professionals to evaluate Nexus DataHub in their own environment.

The provision of this trial version does not constitute a sale, a subscription, or a promise of future commercial availability.

No payment is required for this trial period, and no automatic conversion to a paid offering occurs when it ends.

A.2. Acceptance of the terms

Access to the licence and to the resources enabling installation of the trial version is subject to prior acceptance of these Terms of Use.

Before being able to view their licence and access the Setup, the user must read these terms and expressly indicate their acceptance.

If they are not accepted, the relevant items are not made available.

Acceptance is recorded by ReCoWn Labs Server together with the information required for traceability, including the relevant licence, the document version, the language presented, the content fingerprint, and the UTC date/time of acceptance.

A.3. Intended users

The trial version of Nexus DataHub is intended exclusively for professional use.

The person requesting or using a licence declares that they are acting in the course of their professional activity or on behalf of an organisation authorised to evaluate the software.

A.4. Scope of the trial licence

Unless otherwise stated when it is issued, the trial licence permits:

  • a single installation of Nexus DataHub;
  • the configuration of no more than three Data sources;
  • access to all features available in the relevant version of the software during the trial period.

The licence is intended for the organisation to which it was issued.

It may not be assigned, transferred, resold, sublicensed, or made available to a third party.

A.5. Duration

The trial period is 30 days.

An operating grace period of 5 days may apply after that period expires.

At the end of this grace period, the operational features of Nexus DataHub are blocked.

Only the access required to manage the licence remains available, in particular to allow the subsequent installation or activation of another valid licence.

This grace period does not constitute an extension of the contractual duration of the trial.

A.6. Installation and environment

Nexus DataHub is a solution intended to be installed in the user's infrastructure.

The user remains responsible for their infrastructure, systems, databases, applications, backups, access controls, and the security of their environment.

It is the user's responsibility to verify the technical prerequisites applicable to the software.

The trial version is intended primarily for a test, demonstration, or pre-production environment.

It must not be used as the sole component of a critical production process or as the exclusive basis for a business, accounting, tax, regulatory, or business-continuity obligation.

Any use in a production environment takes place under the user's responsibility, after the user has assessed the risks, carried out the necessary tests, and implemented appropriate backups and continuity solutions.

A.7. Business data

Business data connected, prepared, checked, historised, or published by Nexus DataHub remains in the user's environment.

ReCoWn Labs Server does not access the content of the business data processed by Nexus DataHub.

The licensing and update mechanism relies solely on the technical information necessary for its operation, as described in the Privacy Policy.

A.8. Licence activation and verification

Nexus DataHub communicates periodically with ReCoWn Labs Server in order to verify the status and validity of the licence.

An offline grace period is provided when an installation is temporarily unable to communicate with the licence server.

Beyond this grace period, features requiring a valid licence may become unavailable until communication is restored or the licence is regularised.

A.9. Technical licence information

To operate and secure the licensing system, ReCoWn Labs Server may process, in particular:

  • the licence status;
  • information relating to update status;
  • the last known connection IP address;
  • a one-way technical fingerprint associated with the installation.

This fingerprint helps identify the authorised installation and prevent the duplication or cloning of a licence.

It does not enable ReCoWn Labs to reconstruct the original hardware characteristics used to generate it.

When a new fingerprint replaces the previous one, the previous fingerprint is not retained.

A.10. Restrictions on use

Unless otherwise required by applicable mandatory provisions, it is prohibited in particular to:

  • circumvent, disable, or alter the licensing mechanism or its controls;
  • use a licence on multiple installations where only one installation is authorised;
  • copy or clone a licence;
  • assign, lease, resell, sublicense, distribute, or make Nexus DataHub available to a third party;
  • attempt to gain unauthorised access to ReCoWn Labs Server or to the mechanisms associated with the licensing system;
  • modify Nexus DataHub for the purpose of removing or circumventing licence restrictions;
  • decompile, disassemble, or reverse engineer, except within the limits expressly authorised by applicable mandatory provisions;
  • use Nexus DataHub in a manner contrary to applicable laws and regulations.

A.11. Intellectual property

Making Nexus DataHub available does not transfer any ownership rights in the software, its code, architecture, documentation, graphical components, or associated materials.

The user receives only a limited, non-exclusive, non-transferable, and temporary right to use it solely for the purposes of their professional evaluation during the authorised period.

All rights not expressly granted are reserved.

A.12. Trial version — no service warranty

Nexus DataHub is made available free of charge for evaluation purposes.

The trial version is provided as is, without any commitment as to service level, availability, or support.

No warranty is given that the software will be suitable for any particular need.

The user is encouraged to evaluate the software in an appropriate environment and to take the necessary precautions before any use involving critical data or systems.

To the fullest extent permitted by law, any liability of ReCoWn Labs could relate only to direct, certain, foreseeable, proven damage exclusively attributable to a breach by ReCoWn Labs.

ReCoWn Labs shall not be held liable for indirect or intangible damage, including loss of operations, revenue, profits, or opportunity, damage to reputation, business interruption, loss or alteration of data, or for consequences resulting from the absence or inadequacy of backups, testing, supervision, or continuity arrangements for which the user is responsible.

Given the free nature of the trial version, the extent of any liability of ReCoWn Labs must be assessed in light of the absence of financial consideration and the exclusively evaluative purpose of the software.

Nothing in these terms shall exclude or limit any liability that cannot legally be excluded or limited.

A.13. Backups and continuity

The user remains responsible for backing up their data, configurations, systems, and environments.

The trial version does not replace the user's backup, continuity, or disaster-recovery procedures.

A.14. Support

No contractual support commitment is associated with the trial version.

Assistance may nevertheless be provided, without any commitment as to outcome, availability, or response time.

The user must send support only the information strictly necessary to process their request. Before transmission, it is the user's responsibility to remove or mask passwords, private keys, secrets, business data, personal data, or confidential information that is not essential to the diagnosis.

If an intervention exceptionally requires access to sensitive information or to the user's environment, its terms must be agreed in advance and may be subject to additional arrangements.

A.15. End of the trial

When the licence and applicable grace periods expire, operational features are blocked and only the access required to manage the licence remains available.

No subscription, payment, or paid renewal is initiated automatically.

Subsequent use will require an appropriate licence if and when such a licence is offered.

ReCoWn Labs may suspend or revoke a trial licence before its expiry in the event of fraudulent use, duplication or attempted duplication, circumvention of controls, harm or serious risk to the security of the services, use manifestly contrary to its evaluation purpose, or a material breach of these terms.

Where circumstances permit, the user is informed of this suspension or revocation. A suspension intended to protect the security of the services may, however, take effect immediately.

The suspension, revocation, or expiry of the licence does not, in itself, result in the deletion of business data retained in the user's environment. The user remains responsible for its backup, export, and retention.

A.16. New version of these terms

The subsequent publication of a new version of these Terms of Use does not retroactively amend the version linked to a licence that has already been issued.

The proof of acceptance associated with a licence remains linked to the version presented when that licence was issued.

A new version may apply to new licences or to a new act of subscription, renewal, or change of edition managed by ReCoWn Labs.

The publication of a new version of the terms cannot, by itself, result in the blocking of an already authorised Nexus installation.

A.17. Personal data

The processing of personal data and technical information necessary for requesting, issuing, managing, and securing licences is described in the ReCoWn Labs Privacy Policy.

A.18. Governing law

These Terms of Use are governed by French law, subject to applicable mandatory rules.
